1. መግቢያ

Welcome to Foodfy ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of the Foodfy platform, including our website at foodfy.ai, mobile applications for iOS and Android, application programming interfaces (APIs), merchant dashboards, point-of-sale systems, kitchen display systems, website and mobile app builders, AI-powered tools, drone delivery infrastructure, and all related services, features, content, and functionality (collectively, the "Platform").

መለያ በመፍጠር፣ በመድረስ ወይም ማንኛውንም የፕላትፎርሙን ክፍል በመጠቀም በእነዚህ ውሎች፣ የግላዊነት መመሪያችን እና በኩኪ መመሪያችን ለመገዛት እንደተስማሙ፣ እንደተረዱ እና እንደተስማሙ እውቅና ይሰጣሉ። መድረክን ድርጅትን ወክለህ የምትጠቀም ከሆነ ድርጅቱን ከእነዚህ ውሎች ጋር የማያያዝ ስልጣን እንዳለህ ትወክለዋለህ።

2. ፍቺዎች

Throughout these Terms, the following definitions apply:

  • መድረክ: The Foodfy website, mobile applications, APIs, merchant dashboards, embedded tools (POS, KDS, website builder, app builder, ScreensCaster), AI services, drone delivery network, and all associated services, features, and infrastructure operated by Foodfy.
  • ተጠቃሚ: ደንበኞችን፣ የንግድ አጋሮችን፣ የአቅርቦት አጋሮችን፣ የግዛት አጋሮችን፣ የድርጅት አካውንቶችን፣ ባለሀብቶችን እና ተፅዕኖ ፈጣሪዎችን ጨምሮ መድረኩን በማንኛውም አቅም የሚጠቀም ወይም የሚጠቀም ማንኛውም ግለሰብ ወይም አካል።
  • ደንበኛ: ከቢዝነስ አጋሮች ምርቶችን እና አገልግሎቶችን ለማሰስ፣ ለማግኘት፣ ለማዘዝ ወይም ለመግዛት መድረክን የሚጠቀም ግለሰብ፣ በድር፣ በሞባይል መተግበሪያ፣ በQR ኮድ፣ በራስ አገልግሎት ኪዮስክ ወይም በሶስተኛ ወገን ማቅረቢያ ውህደቶችን ጨምሮ።
  • የንግድ አጋር: ማንኛውም ምግብ ቤት፣ ግሮሰሪ፣ ፋርማሲ፣ የአበባ መሸጫ ሱቅ፣ የችርቻሮ መሸጫ ሱቅ፣ አቅራቢ፣ ብራንድ፣ ጨለማ ወጥ ቤት፣ ወይም ሌላ የንግድ አካል በፕላትፎርሙ ላይ ምርቶችን ወይም አገልግሎቶችን የሚዘረዝር፣ የFoodfy የቴክኖሎጂ መሳሪያዎችን የሚጠቀም ወይም በFoodfy የገበያ ቦታ ላይ የሚሳተፍ።
  • የመላኪያ አጋር: በባህላዊ ተሽከርካሪ ላይ የተመሰረተ ማድረስ ወይም በፉድፋይ ሰው አልባ አውሮፕላኖች የማድረስ አገልግሎትን በፕላትፎርም በኩል የሚያቀርብ ግለሰብ ወይም አካል።
  • Territory Partner: ከአምስት እርከኖች በአንዱ የሚንቀሳቀሰው የFoodfy ስራዎችን በተሰየመ ጂኦግራፊያዊ ግዛት ውስጥ የሚያስተዳድር ግለሰብ ወይም አካል፡ የክልል ርዕሰ መስተዳድር፣ የሀገር መሪ፣ የክልል ርዕሰ መስተዳድር፣ የከተማ ርእሰ መስተዳድር፣ ወይም የአካባቢ ኃላፊ።

  • Foodfy ወርቅ: The Platform subscription membership program that provides Customers with benefits including free delivery, order discounts, priority support, and other premium features.
  • NutriLife: The Platform health and nutrition tracking service that enables users to log meals, track calories and macronutrients, record biometric data, and receive AI-powered nutritional guidance.
  • AI አገልግሎቶች: በፎድፋይ AI Hub ፣ chatbots ፣ሜኑ ማመቻቸት ፣የፍላጎት ትንበያ ፣አውቶሜትድ ግብይት ፣የአመጋገብ ትንተና እና በ AI የተጎለበተ የደንበኛ ድጋፍን ጨምሮ ሁሉም ሰው ሰራሽ የማሰብ እና የማሽን ትምህርት ባህሪያት በመድረክ በኩል የቀረቡ።

3. ብቁነት

To access or use the Platform, you must meet all of the following requirements:

  • እድሜዎ ቢያንስ 18 ዓመት ወይም በህጋዊ ችሎትዎ ውስጥ ህጋዊ የሆነ አብላጫ ይሁን፣ የትኛውም ከፍ ያለ ነው።

  • Provide accurate, current, and complete information during the registration process and maintain the accuracy of such information.
  • Not have been previously suspended, removed, or permanently banned from the Platform.
  • Not be located in, or a resident of, any jurisdiction where use of the Platform would violate applicable local, national, or international law.

4. የመለያ ምዝገባ እና ደህንነት

To access certain features of the Platform, you must create an account. When you register, you agree to:

  • Provide truthful, accurate, and complete registration information, including your legal name, valid email address, and phone number.
  • ጠንካራ የይለፍ ቃል ይፍጠሩ እና የመግቢያ ምስክርነቶችን ጥብቅ ምስጢራዊነት ይጠብቁ።

  • Notify Foodfy immediately at [email protected] if you become aware of any unauthorized access to or use of your account.

  • Not share your account credentials with any other person or allow multiple individuals to use a single account, unless the account type expressly permits multiple users (e.g., Business Partner staff accounts).

5. የመድረክ አገልግሎቶች

5.1 ለደንበኞች

ፉድፊ ሬስቶራንቶችን፣ የግሮሰሪ ሱቆችን፣ ፋርማሲዎችን፣ የአበባ ሱቆችን እና የችርቻሮ መሸጫ ሱቆችን ጨምሮ ደንበኞችን ከአካባቢው ንግዶች ጋር የሚያገናኝ የቴክኖሎጂ መድረክ ያቀርባል። የማግኘት፣ የማዘዝ፣ ክፍያ እና የማድረስ ሂደቱን እናመቻችለን። ፉድፊ እንደ የቴክኖሎጂ አማላጅ ሆኖ የሚሰራ ሲሆን በንግድ አጋሮች የተዘረዘሩትን ምርቶች ወይም አገልግሎቶች ሻጭ፣አምራች ወይም አቅራቢ አይደለም። እያንዳንዱ የንግድ አጋር ለጥራት፣ ለደህንነት፣ ህጋዊነት፣ ትክክለኛነት እና አቅርቦቶቻቸውን ለማሟላት በተናጥል እና በብቸኝነት ሀላፊነቱን ይወስዳል።

ደንበኞች የፉድፋይ ድረ-ገጽን፣ የሞባይል አፕሊኬሽኖችን፣ የQR ኮድ ሠንጠረዥ ማዘዝን፣ የራስ አገልግሎት ኪዮስኮችን በተሳታፊ ቦታዎች እና በተቀናጁ የሶስተኛ ወገን ማቅረቢያ መድረኮችን ጨምሮ ፕላትፎርሙን በበርካታ ቻናሎች ማግኘት ይችላሉ።

5.2 ለንግድ አጋሮች

ፉድፊ ለቢዝነስ አጋሮች አሃዛዊ የሆነ ሁሉን አቀፍ የቴክኖሎጂ ስብስብ ያቀርባል እና ስራቸውን ለማመቻቸት። ይህ የሚያጠቃልለው በነዚህ ብቻ አይደለም፡ የደመና ነጥብ ሽያጭ (POS) ሥርዓቶች፣ የወጥ ቤት ማሳያ ስርዓቶች (KDS)፣ ሜኑ እና የእቃ ዝርዝር አስተዳደር፣ የደንበኛ ግንኙነት አስተዳደር (CRM) ከታማኝነት ፕሮግራሞች ጋር፣ በ AI የተጎላበተ ትንታኔ እና የፍላጎት ትንበያ፣ የድር ጣቢያ እና የሞባይል መተግበሪያ ግንበኞች፣ ዲጂታል ምልክት (ScreensCaster)፣ የክስተት እና የቲኬት አስተዳደር፣ ቦታ ማስያዝ እና አስተናጋጅ ጣቢያ፣ የሰራተኛ ወጭ አስተዳደር፣ የሰነድ አስተዳደር እና የግዥ አስተዳደር ውህደት፣ ሁሉን ቻናል መልእክት (ዋትስአፕ፣ ኤስኤምኤስ፣ ኢሜል)፣ ማስታወቂያ እና ግብይት አውቶሜሽን፣ ተፅዕኖ ፈጣሪ አስተዳደር፣ የደንበኛ ዳሰሳ ጥናት፣ የራስ አገልግሎት ኪዮስክ ሶፍትዌር፣ የQR ኮድ ማዘዣ፣ የመድረክ ውህደቶች፣ የክፍያ ተርሚናል ውህደት እና የፍራንቻይዝ አስተዳደር።

የንግድ አጋሮች የደንበኞቻቸውን መረጃ፣ የትዕዛዝ ታሪክ እና በፕላትፎርሙ በኩል የመነጩ የንግድ ትንታኔዎችን ሙሉ ባለቤትነት ይይዛሉ። ፉድፊ የቢዝነስ አጋር ውሂብ ባለቤትነትን አይጠይቅም እና ለውሂብ ወደ ውጭ ለመላክ እና ለማንቀሳቀስ መሳሪያዎችን ያቀርባል።

5.3 ለማድረስ አጋሮች

የማድረስ አጋሮች እንደ ገለልተኛ ሥራ ተቋራጮች ይሠራሉ እና የFoodfy ተቀጣሪዎች፣ ወኪሎች ወይም ተወካዮች አይደሉም። ፉድፊ የማድረስ ጥያቄዎችን ፣የመስመሮችን ማመቻቸት እና ክትትልን ለማሳለጥ የቴክኖሎጂ መድረክን ያቀርባል። በFoodfy እና ማቅረቢያ አጋሮች መካከል ያለውን ግንኙነት የሚቆጣጠሩት ልዩ ውሎች በተለየ የአቅርቦት አጋር ስምምነት ውስጥ ተቀምጠዋል፣ ይህም ማቅረቢያዎችን ከማከናወኑ በፊት መቀበል አለበት።

5.4 ለግዛት አጋሮች

Territory Partners manage Foodfy operations within designated geographic areas under the terms of a separate Territory Partner Agreement. Territory Partners operate at one of five hierarchical levels: Region Head, Country Head, State Head, City Head, or Area Head. Each level carries specific responsibilities, performance obligations, and profit-sharing arrangements as detailed in the applicable Territory Partner Agreement.

Territory Partner positions are subject to availability, performance review, and compliance with Foodfy operational standards. Foodfy reserves the right to modify territory boundaries, reassign territories, or terminate Territory Partner agreements in accordance with the applicable agreement terms.

5.5 ለድርጅት መለያዎች (Foodfy for Work)

Organizations enrolled in Foodfy for Work receive access to corporate meal management tools, including pre-funded employee digital wallets, group ordering capabilities, expense tracking and reporting, and integration with HR systems. Corporate Account administrators are responsible for managing employee access, funding allocations, and ensuring compliance with their organization internal expense policies.

5.6 ለባለሀብቶች

The Platform provides features for accredited investors to explore investment opportunities in the Foodfy ecosystem, including direct investment in Foodfy, DronePort infrastructure, and related ventures. All investment activities are subject to applicable securities laws and regulations. Investment features on the Platform do not constitute financial advice, and Users should consult qualified financial advisors before making investment decisions. Access to investment features may require additional identity verification and accreditation checks.

5.7 ለተፅዕኖ ፈጣሪዎች

The Platform provides tools for content creators and influencers to collaborate with Business Partners on promotional campaigns. Influencer activities are governed by the Influencer Program Terms and must comply with all applicable advertising disclosure laws and regulations, including requirements to clearly disclose sponsored content and material connections.

6. ትዕዛዞች እና ክፍያዎች

When you place an order through the Platform, the following terms apply:

  • You agree to pay the full price for all items ordered, including the listed product price, applicable taxes, service fees, delivery charges, and any gratuity you choose to add.
  • Product prices are set independently by Business Partners. Foodfy does not mark up product prices and does not control the pricing decisions of Business Partners.
  • Payment is processed securely through our PCI DSS-compliant third-party payment processors, including Stripe. Foodfy does not store your full payment card number, CVV, or other sensitive payment credentials on our servers.
  • Orders are subject to acceptance by the Business Partner. A Business Partner may decline an order due to capacity constraints, inventory unavailability, operating hours, delivery distance, or other legitimate reasons.

  • Refund and cancellation policies vary by Business Partner, order type, and the stage of order processing. Refund requests are evaluated on a case-by-case basis considering factors such as the reason for the request, time elapsed, and order status.

  • Tips and gratuities are voluntary and are passed through to Delivery Partners or Business Partner staff in full. Foodfy does not retain any portion of tips.

7. የመድረክ ክፍያዎች

ፉድፊ የቴክኖሎጂ እና የገበያ ቦታ አገልግሎቶቹን ለመጠቀም ለንግድ አጋሮች የመድረክ ክፍያ ያስከፍላል። የክፍያ አወቃቀሩ ግልጽ እና ተወዳዳሪ እንዲሆን የተነደፈ ነው፡-

  • AI አገልግሎቶች እርስዎ እየሄዱ በሚከፈልበት የክሬዲት ስርዓት ይከፈላሉ. የ AI ክሬዲቶች በቅድሚያ ተገዝተው በአጠቃቀም ላይ ተመስርተው ጥቅም ላይ ይውላሉ. የክሬዲት ዋጋ እና የፍጆታ ዋጋዎች በ AI አገልግሎቶች የዋጋ ገጽ ላይ ታትመዋል እና በቅድሚያ ማስታወቂያ ሊዘምኑ ይችላሉ።

8. Foodfy ጎልድ አባልነት

Foodfy Gold ለደንበኞች ፕሪሚየም ጥቅማጥቅሞችን የሚሰጥ የሚከፈልበት የደንበኝነት ምዝገባ አባልነት ፕሮግራም ነው። ለFoodfy Gold ደንበኝነት በመመዝገብ በሚከተሉት ውሎች ተስማምተዋል፡

8.1 የደንበኝነት ምዝገባ እና የሂሳብ አከፋፈል

  • የFoodfy Gold የደንበኝነት ምዝገባዎች በግዢ ጊዜ በተመረጡት ተደጋጋሚ (በወር ወይም በየዓመቱ) ይከፈላሉ። ከእድሳት ቀን በፊት ካልሰረዙ በስተቀር ምዝገባዎ በእያንዳንዱ የክፍያ ጊዜ መጨረሻ ላይ በራስ-ሰር ይታደሳል።
  • Payment is processed through Stripe. By subscribing, you authorize Foodfy to charge your designated payment method for the subscription fee at each renewal period.
  • Subscription prices may change with at least 30 days advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.

8.2 ጥቅሞች

  • ጥቅማጥቅሞች በFoodfy Platform በኩል ለሚቀርቡ ብቁ ትዕዛዞች ብቻ ተፈጻሚ ይሆናሉ እና ዝቅተኛ የትዕዛዝ ዋጋዎች፣ የተሣታፊ የንግድ አጋር ተገኝነት እና ሌሎች ሁኔታዎች ተገዢ ናቸው።
  • Foodfy ለተመዝጋቢዎች በተመጣጣኝ የቅድሚያ ማስታወቂያ የተወሰነ ጥቅማጥቅሞችን የመቀየር፣ የመጨመር ወይም የማስወገድ መብቱ የተጠበቀ ነው።

8.3 የሙከራ ጊዜ

ፉድፊ ለአዲስ የFoodfy Gold ተመዝጋቢዎች ነፃ ወይም ቅናሽ የሙከራ ጊዜ ሊያቀርብ ይችላል። በሙከራ ጊዜው መጨረሻ፣የሙከራ ጊዜው ከማብቃቱ በፊት ካልሰረዙ በስተቀር ምዝገባዎ በወቅቱ በነበረው ፍጥነት ወደሚከፈልበት ደንበኝነት ምዝገባ ይቀየራል። በአንድ መለያ አንድ ሙከራ ብቻ መጠቀም ይችላሉ።

8.4 ስረዛ እና ተመላሽ ገንዘቦች

  • You may cancel your Foodfy Gold subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to Gold benefits until that date.
  • No prorated refunds are provided for partial billing periods. If you cancel during a trial period, you will not be charged.
  • እነዚህን ውሎች አላግባብ መጠቀምን፣ ማጭበርበርን ወይም ጥሰትን ካገኘን Foodfy የወርቅ አባልነትን የማቋረጥ ወይም የማገድ መብቱ የተጠበቀ ነው።

8.5 የመለያ ገደቦች

የFoodfy Gold አባልነቶች ግላዊ እና የማይተላለፉ ናቸው። የወርቅ ጥቅማጥቅሞችን ለንግድ ዓላማ መጋራት፣ መልሶ መሸጥ ወይም መበዝበዝ በጥብቅ የተከለከለ ነው እና ተመላሽ ሳይደረግ አባልነቱ ወዲያውኑ እንዲቋረጥ ሊያደርግ ይችላል።

9. Foodfy ለስራ (የድርጅት መለያዎች)

Foodfy for Work ድርጅቶች ለሰራተኞቻቸው የምግብ ጥቅማ ጥቅሞችን በፕላትፎርም እንዲያቀርቡ ያስችላቸዋል። የሚከተሉት ውሎች ተፈጻሚ ይሆናሉ፡

  • የኮርፖሬት መለያ ውሎች፣ የዋጋ አወጣጥ፣ የኪስ ቦርሳ መርሐ-ግብሮችን እና የምደባ ገደቦችን ጨምሮ፣ የሚመራው በተለየ የFoodfy ለስራ ስምምነት በFoodfy እና በተመዝጋቢው ድርጅት መካከል ነው።

You should always consult a qualified healthcare professional before making dietary changes, starting a fitness program, or making decisions about your health.

The Foodfy Territory Partner Program enables entrepreneurs to manage Foodfy operations within designated geographic areas. By participating in the Territory Partner Program, you agree to the following:

  • Territory Partners operate under a separate Territory Partner Agreement that defines the scope of the territory, performance expectations, profit-sharing arrangements, and operational standards.
  • Territory assignments are non-exclusive unless expressly stated otherwise in the Territory Partner Agreement. Foodfy reserves the right to operate directly or through other partners in any territory.
  • Territory Partners must meet minimum performance benchmarks, adhere to Foodfy brand guidelines, and maintain professional conduct in all interactions with Business Partners, Customers, and the public.
  • Territory Partners are independent contractors and are not employees, franchisees, or agents of Foodfy. Nothing in the Territory Partner Agreement creates an employment, franchise, joint venture, or agency relationship.

The Platform provides tools for Business Partners to create, manage, and sell tickets to events. The following terms apply to event ticketing:

  • Promotional credits, coupon codes, referral bonuses, and special offers ("Promotions") are issued at Foodfy discretion and are subject to specific terms and conditions communicated at the time of issuance.

  • Promotions may have expiration dates, minimum order values, geographic restrictions, and category limitations.

This license does not include the right to: reproduce, distribute, modify, create derivative works of, publicly display, reverse engineer, decompile, or disassemble any part of the Platform or its underlying technology.

You may submit reviews, ratings, photos, comments, and other content ("User Content") through the Platform. By submitting User Content, you:

  • Use the Platform to compile, directly or indirectly, a collection of business listings, product data, pricing information, or customer data for use outside the Platform.

THE PLATFORM AND ALL CONTENT, FEATURES, SERVICES, AI OUTPUTS, NUTRITIONAL DATA, AND INFORMATION PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOODFY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

Without limiting the foregoing, Foodfy does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Platform will be accurate, reliable, or complete; (c) any errors or defects will be corrected; (d) the Platform or the servers that make the Platform available are free of viruses or other harmful components; or (e) AI-generated content, nutritional data, or health insights are accurate or suitable for any particular purpose.

24. የተጠያቂነት ገደብ

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOODFY, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Platform.

  • በNutriLife ወይም በሌሎች የፕላትፎርም ባህሪያት የቀረበ ማንኛውም የጤና ወይም የአመጋገብ መረጃ።
  • በድሮን ማቅረቢያ አገልግሎቶች ላይ ማንኛውም ውድቀት፣ መዘግየት ወይም መስተጓጎል።
  • በመድረክ በኩል ባለው መረጃ ላይ የተመሰረተ ማንኛውም የኢንቨስትመንት ውሳኔ።

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF FOODFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

25. ማካካሻ

You agree to indemnify, defend, and hold harmless Foodfy and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees and court costs) arising out of or in connection with:

  • Your access to or use of the Platform.
  • Your violation of these Terms or any applicable law or regulation.
  • Your User Content or business listings.
  • Your violation of any rights of any third party, including intellectual property, privacy, or publicity rights.

26. የክርክር መፍትሄ

26.1 መደበኛ ያልሆነ ውሳኔ

መደበኛ ሂደቶችን ከመጀመራቸው በፊት ሁለቱም ወገኖች በእነዚህ ውሎች ወይም መድረክ ላይ የሚነሱ አለመግባባቶችን፣ የይገባኛል ጥያቄዎችን ወይም ውዝግቦችን በቅን ልቦና መደበኛ ባልሆነ ድርድር ለመፍታት ተስማምተዋል። የክርክሩን የጽሁፍ መግለጫ በ [email protected] ላይ በማነጋገር መደበኛ ያልሆነውን የግጭት አፈታት ሂደት ማስጀመር ይችላሉ። በደረሰን በሰላሳ (30) ቀናት ውስጥ አለመግባባቱን ለመፍታት እንሞክራለን።

26.2 አስገዳጅ ግልግል

አለመግባባቱን በሰላሳ (30) ቀናት ውስጥ መደበኛ ባልሆነ ድርድር መፍታት ካልተቻለ የትኛውም ወገን ለክርክሩ ተፈፃሚ በሆነው የዳኝነት ስልጣን እውቅና ባለው የግልግል ተቋም በሚመራ አስገዳጅ የግልግል ውሳኔ ለመፍታት መምረጥ ይችላል። የግልግል ዳኝነት የሚከናወነው በእንግሊዘኛ ቋንቋ በአንድ የግልግል ዳኛ ሲሆን ውሳኔው በሁለቱም ወገኖች ላይ የመጨረሻ እና አስገዳጅነት ያለው ነው።

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Foodfy.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or data protection obligations.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the relevant Foodfy entity operates, without regard to conflict of law principles. As Foodfy operates across multiple countries through its Territory Partner network, the specific governing law and jurisdiction may vary depending on your location, the nature of the dispute, and the Foodfy entity with which you have a contractual relationship.

28. መቋረጥ

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without prior notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms or any other Foodfy policy or agreement.

  • Prolonged inactivity of your account.
  • Request by law enforcement or government authorities.

Upon termination: (a) your right to use the Platform immediately ceases; (b) we may delete your account data after a reasonable retention period, subject to our Privacy Policy and applicable legal obligations; (c) any outstanding payment obligations survive termination; and (d) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 20, 21, 23, 24, 25, 26, 27, and 29-33.

Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and may close your account.

31. አጠቃላይ ድንጋጌዎች

31.1 ሙሉ ስምምነት

These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein or agreed to by you, constitute the entire agreement between you and Foodfy concerning the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Foodfy regarding the Platform.

31.2 ቅልጥፍና

You may not assign, transfer, or sublicense your rights or obligations under these Terms without the prior written consent of Foodfy. Foodfy may assign, transfer, or sublicense its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

31.4 ማስቀረት

The failure of Foodfy to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Foodfy.

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms, except as expressly provided herein.
